Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and Salvage Logix (“Salvage Logix,” “we,” “us,” or “our”) for access to our websites—including salvagelogix.com (marketing and account hub) and salvagelogix.app (application)—and related cloud software services (collectively, the “Services”).

Salvage Logix provides subscription-based software for salvage yards and automotive parts sellers. We sell digital software access only. We do not sell physical auto parts through these Terms or through checkout on salvagelogix.com.

By creating an account, subscribing, checking out, or otherwise using the Services, you agree to these Terms and our Privacy Policy, which is incorporated by reference.

2. Eligibility

The Services are intended for businesses and individuals who are at least 18 years of age (or the age of majority in your jurisdiction). By using the Services, you represent that you meet this requirement and have authority to bind any business entity on whose behalf you register.

Paid checkout and certain payment methods (including Amazon Pay where offered) may be limited to supported regions and currencies as shown at checkout. Unless stated otherwise at checkout, subscription fees are billed in U.S. dollars (USD).

3. Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. Enterprise customers may provision team seats in accordance with their plan or order form.

Notify us promptly at support@salvagelogix.com if you suspect unauthorized access.

4. Subscriptions, billing, and payment methods

Plans. We offer paid subscription plans. Plan features, posting limits, team seats, and pricing are described on our pricing page and at checkout.

Recurring billing. Paid subscriptions renew automatically at the interval shown at checkout (for example, monthly or yearly) until cancelled. By subscribing, you authorize Salvage Logix and our billing partners to charge your selected payment method for recurring fees, applicable taxes, and any disclosed add-ons.

Billing partners. Subscription checkout and payment processing are handled through trusted partners, including Chargebee and configured payment gateways. You may be redirected to a secure Chargebee-hosted checkout page to complete payment.

Amazon Pay. Where Amazon Pay is offered at checkout, you may pay using your Amazon account according to Amazon's applicable customer agreements and policies. When you choose Amazon Pay, you must complete payment through Amazon's authorized flow. We do not ask you to provide full payment card or bank account details on our site for transactions you choose to complete with Amazon Pay. Recurring subscription charges may use the payment authorization Amazon and our billing partners store for your account (for example, a charge permission or billing agreement reference), until you cancel or update your payment method.

Other payment methods. If you pay by card or another supported method, that payment is processed by the applicable gateway. We do not store full payment card numbers on our servers.

Taxes and invoices. Fees may exclude taxes unless stated otherwise. Applicable taxes may be added at checkout. Invoices and receipts are provided through our billing systems or by email where configured.

Failed payments. If a charge fails, we may retry payment, suspend access to paid features, or terminate the subscription after reasonable notice, consistent with our billing partner settings and applicable law.

Changes to plans, features, and subscription benefits. By subscribing or continuing to use the Services, you agree that Salvage Logix may change subscription benefits, plan limits, included features, and the Services themselves at any time, including adding, modifying, limiting, or removing functionality in the salvagelogix.app application, the salvagelogix.com website and owner dashboard, mobile apps, and related user interfaces. We may make such changes with or without prior notice where permitted by law. Continued use or renewal of a subscription after changes take effect constitutes your acceptance of the updated Services and subscription benefits. Changes to features or benefits do not, by themselves, entitle you to a refund or credit except where required by applicable law or expressly stated in writing.

5. Cancellation, refunds, and billing support

No physical shipping. The Services are delivered electronically. There are no shipments, delivery dates, or physical returns associated with Salvage Logix subscription purchases.

How to cancel. You may cancel a paid subscription at any time through the billing controls in your Salvage Logix dashboard (including the secure billing portal linked from your account). Cancellation stops future renewals; unless required by law or stated otherwise at checkout, access to paid features typically continues through the end of the current paid billing period.

Refunds. Except where required by law or explicitly stated in writing, subscription fees are non-refundable and we do not provide prorated refunds for partial billing periods. If a refund is approved, it will be credited to the original payment method where possible (including the Amazon Pay or card method used for the charge).

Billing questions and disputes. Contact us at support@salvagelogix.com or through our contact form with your account email and invoice or transaction details. We will work in good faith to resolve billing issues promptly.

6. Marketplace compliance and listing branding

Salvage Logix provides tooling to help you produce listings and manage yard workflows; you remain solely responsible for compliance with each marketplace's policies (including eBay), Facebook and Meta platform policies, export controls, consumer protection laws, and hazardous materials regulations. We are not affiliated with, endorsed by, or sponsored by eBay Inc. or Meta Platforms, Inc.

Facebook Page Messenger. If you use Connect Facebook, you represent that you are a Page admin (or have authority from one) for the Facebook Page you link, and that you may authorize Salvage Logix to receive and send Messenger on that Page. Conversations appear in Messages on salvagelogix.com. This inbox is Page Messenger only — it does not include Facebook Marketplace inbox. You are responsible for message content your team sends, for how you use buyer information, and for Meta's rules. Until Meta completes App Review for messaging permissions, only people Meta treats as testers or admins on the Salvage Logix app may be able to finish connect or exchange live customer chats. You may disconnect the Page under Account at any time.

Facebook Page and Instagram posts. If you turn on Facebook vehicle posts, you authorize Salvage Logix to publish posts on that Page using photos and vehicle details already in your account. Instagram is optional and separate: posts go to Instagram only if you connect Instagram and enable Instagram posts. Posts are Page and Instagram feed posts, not Facebook Marketplace listings. You are responsible for post content, photos, and Meta's content rules. Until Meta completes App Review for posting permissions, only testers or admins on the Salvage Logix app may be able to publish. You can turn posts off under Settings → Socials, disconnect Facebook under Account, or disconnect Instagram under Account at any time.

eBay offers to interested buyers. If you turn on Auto-send eBay offers under Settings, you authorize Salvage Logix to send eBay's “offer to interested buyers” on listings eBay marks eligible, at the discount percent you enter. A buyer who accepts that offer may create a binding sale on eBay. Incoming Best Offers and counters stay manual unless you act on them. You are responsible for the percent you choose, for eBay's offer and pricing rules, and for sales that result. You can turn auto-send off under Settings at any time.

When you use listing templates or export or publish listing descriptions through the application at salvagelogix.app, you agree that Salvage Logix may append a compact “Powered by Salvage Logix” co-brand footer inside the listing description (sized for common eBay promotional image limits, such as 88×33 pixels where applicable). You consent to this branding on affected listings and will not remove or circumvent it in violation of marketplace rules or these Terms.

7. Web storefront and online sales

The Services may include tools that let a yard or parts seller (“Seller”) publish a web storefront, accept online orders, and collect payment through integrated processors (for example, Stripe). When a buyer purchases goods through a Seller's storefront powered by Salvage Logix, the sale is solely between the buyer and the Seller.

Salvage Logix is not the seller, buyer, marketplace operator, broker, agent, or intermediary for that sale, and is not a party to the purchase contract. We provide software, hosting, and payment tooling only. Payment processors may settle funds to the Seller (or the Seller's connected account) under that processor's terms. We do not take title to parts or inventory sold through a Seller's storefront.

The Seller is solely responsible for item descriptions, pricing, inventory availability, shipping, returns, warranties, taxes, consumer disclosures, and resolving buyer disputes. To the maximum extent permitted by law, Salvage Logix disclaims liability for storefront sales, including product defects, shipping failures, refunds, chargebacks, misrepresentations, or disputes between buyers and Sellers. Sellers using storefront or checkout features agree to indemnify Salvage Logix from claims arising out of their online sales, listings, fulfillment, or buyer relationships.

The same Stripe Connect account a Seller links under Account may also be used for other payment features in the Services, including storefront checkout, invoices, and card collection on cash-on-delivery (COD) stops. When a driver or yard employee collects a card payment on delivery, the charge is processed by Stripe on the Seller's connected account. The sale remains solely between the Seller and their customer. Salvage Logix does not take the funds, store card numbers, or act as the merchant of record. The Seller is responsible for refunds, chargebacks, receipts, taxes, and customer disputes for those charges, under Stripe's terms and these Terms.

In-person contactless collection in the Salvage Logix mobile app ("Tap to Pay") uses Stripe Terminal on the Seller's connected account and is subject to Stripe's Terminal terms, Apple's Tap to Pay on iPhone terms, and Google's requirements for Tap to Pay on Android, as applicable. The Seller (not Salvage Logix) accepts those terms when first connecting, and is responsible for the devices its drivers use, for location permissions those platforms require, and for any card-present charge, refund, or dispute. Salvage Logix does not store card data from a tap. Enabling card payments on deliveries in Route settings is optional and uses the Seller's existing Stripe connection.

8. Intellectual property

Salvage Logix retains all rights to the Services, software, branding, and documentation. You retain rights to your content. You grant Salvage Logix a limited license to host, process, transmit, display, transform, and use your content to provide and improve the Services.

Photos and media. Photos and other media you capture or upload (including originals and processed versions) may be stored, processed, and used to provide platform features such as background removal or cutouts, compression, formatting, and listing presentation, and to develop, train, evaluate, and improve machine-learning and AI systems used in or related to the Services. This may include retaining copies for training, quality, and product-improvement purposes, including after you delete a listing or cancel a subscription, to the extent permitted by law and our retention practices. You represent that you have the rights needed to grant this license.

9. AI-assisted features

Salvage Logix may provide AI-assisted tools that help draft, summarize, or improve listing titles, item specifics, compatibility details, descriptions, notes, and related workflow suggestions. AI output is only a suggestion and may be inaccurate, incomplete, outdated, duplicated, or misleading.

You are responsible for reviewing, editing, and approving all AI-generated output before using it in a listing, export, marketplace submission, customer communication, or business decision. You must verify fitment, compatibility, part condition, title wording, pricing, legal disclosures, and marketplace policy compliance before publishing.

Do not submit confidential, sensitive, regulated, payment-card, health, biometric, government ID, or other information that you are not authorized to process through AI tools. Do not use AI features to create fraudulent, deceptive, illegal, unsafe, counterfeit, infringing, or policy-violating listings or content.

10. SMS text message alerts

Salvage Logix may send automated text messages (SMS/MMS) to the mobile number on your account when you opt in. Messages may include yard calendar task assignments and reminders, service or outage notices, security alerts, and important platform announcements. Message frequency varies. Message and data rates may apply.

You are not required to opt in to SMS alerts to create an account or use the Services. To opt in, check the SMS alerts box when accepting these Terms or enable SMS alerts in your account settings. We record the disclosure version and time of your consent.

To opt out, reply STOP to a Salvage Logix message, disable SMS alerts in account settings, or email support@salvagelogix.com. Reply HELP for help. You agree to keep your mobile number accurate and that you are authorized to receive texts at that number.

11. User conduct and acceptable use

You are responsible for all activity under your account and for how your team uses the Services. You agree to use the Services lawfully and professionally, and not to:

  • Use the Services for unlawful, fraudulent, deceptive, harassing, abusive, or discriminatory purposes;
  • Post, upload, or transmit content that infringes intellectual property, privacy, or publicity rights;
  • Upload malware, attempt unauthorized access, probe or scan systems, or bypass security or usage limits;
  • Scrape, crawl, or harvest data from the Services except through documented APIs we provide;
  • Interfere with or disrupt the Services, billing systems, other customers, or our infrastructure;
  • Access accounts or data without authorization, or share credentials outside your organization;
  • Misuse personal information obtained through the Services in violation of our Privacy Policy or law;
  • Use the Services to sell prohibited, stolen, counterfeit, or unsafe items, or to violate marketplace or export rules;
  • Resell or sublicense the Services except as expressly permitted in writing.

We may investigate violations and suspend or terminate access as described in Section 15. Where permitted by law, we may report unlawful activity to authorities or affected parties.

12. Privacy and customer information

Our Privacy Policy explains how we collect, use, share, and protect personal information, including when you use Amazon Pay or other payment methods, connect eBay, or connect a Facebook Page for Messenger, Page posts, and Instagram.

You will use personal information received through the Services only as needed to provide the Services, complete transactions, provide customer support, and as permitted by our Privacy Policy and applicable law. You will not use such information in a manner inconsistent with our Privacy Policy.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALVAGE LOGIX DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT LISTINGS CREATED WITH THE SERVICES WILL SELL OR COMPLY WITH THIRD-PARTY MARKETPLACE RULES. WE ARE NOT A PARTY TO WEB STOREFRONT SALES BETWEEN BUYERS AND SELLERS (SEE SECTION 7) AND DISCLAIM LIABILITY FOR THOSE TRANSACTIONS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALVAGE LOGIX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF NO FEES APPLIED).

15. Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms, fail to pay applicable fees, or if required for security or legal compliance. You may stop using the Services at any time and cancel paid subscriptions as described in Section 5.

The account owner may permanently delete the organization and associated data through Account on the salvagelogix.com owner dashboard, as described in our Privacy Policy. Deletion is irreversible and removes data for all users on the account.

Sections that by their nature should survive termination will survive (including payment obligations accrued, intellectual property, disclaimers, limitations of liability, and dispute resolution).

16. Dispute resolution

Informal resolution first. Before filing a claim, you agree to contact us at support@salvagelogix.com and allow at least thirty (30) days for us to try to resolve the dispute informally.

Binding arbitration (U.S. users). Except for disputes that qualify for small-claims court or injunctive relief for intellectual property or unauthorized access, any dispute arising out of these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act, not in court, except where applicable law prohibits mandatory arbitration (including for certain consumers in specific states).

Class and representative actions waived. To the fullest extent permitted by law, disputes must be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.

EEA / UK consumers. Nothing in this Section limits mandatory rights you may have under the laws of your country of residence, including the right to bring proceedings in your local courts where required by applicable consumer law.

17. Governing law

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-law rules, except where mandatory consumer protection or privacy laws in your state or country of residence provide otherwise and cannot be waived by contract.

18. Changes to these Terms

We may update these Terms by posting a revised version at salvagelogix.com/terms and updating the “Last updated” date. For material changes, we may also notify you by email or through the Services. Continued use after changes become effective constitutes acceptance where permitted by law.
